Tilgang til risikokapital er avgjørende for tidligfaseselskaper som ønsker å vokse og komme
seg helskinnet gjennom dødens dal. Knapphet på risikokapital har ført til en fremvekst av
alternativ finansiering i Europa. Hvor equity crowdfunding er etablert som en viktig aktør og
står for 20% av all egenkapitalfinansiering for oppstartselskaper i Storbritannia. Denne
studien tar for seg det underutviklede equity crowdfunding markedet i Norge. Det vil vurderes
hvilke strategiske faktorer som er avgjørende for at oppstartsbedrifter velger equity
crowdfunding. I tillegg blir det sett nærmere på betydningen av nettverk og sted i
emisjonskampanjen. Før det blir vurdert hvordan valg av equity crowdfunding påvirker
fremtidige finansieringsmuligheter.
Oppgaven baserer seg på studier om crowdfunding, nettverk og sted i tillegg til offentlig
dokumentasjon. Studien lener seg på teorier om «pecking order», «observational learning»,
lokal bias og informasjonsasymmetri. Hensikten med studien er å oppnå en større forståelse
om equity crowdfunding i Norge. Som kan bidra til å utvikle miljøet videre og sørge for at
flere oppstartsbedrifter kan erverve risikokapital.
Oppgaven er en eksplorativ studie, hvor der er intervjuet fire bedrifter og benyttet en
multippel case-tilnærming med et holistisk perspektiv for å analysere problemområdet. I
tillegg er det innhentet data fra aksjonærregisteret for å analysere de totalt 700 aksjeeiere i de
fire selskapene.
Resultatene for oppgaven kan oppsummeres med at entreprenørene i stor grad velger equity
crowdfunding i mangel på bedre alternativ. Samtidig som crowdfunding ikke er nederst på
rangstigen iht. teorien om «pecking order». Hovedstrategien for entreprenørene som benytter
equity crowdfunding, er å bygge bro over dødens dal til fremtidige investeringer fra
ventureselskaper. Samtidig viser studien at equity crowdfunding sannsynligvis bidrar til å
redusere mulighetene til investeringer fra profesjonelle investorer. Studien finner at equity
crowdfunding er særlig utsatt for informasjonsasymmetri, og at investorene som resultat i
hovedsak er lokale. Videre viser studien at entreprenørens sosiale kapital og evnen til å
erverve tidlige investorer i emisjonskampanjen, er av avgjørende betydning for kampanjens

dc.description.abstract | Entrepreneurial ventures are recognized as a key driver for innovation, job creation and
economic growth. Access to risk-capital is decisive for start-up companies who wish to grow
and to get through the valley of death in one piece. Shortage of risk-capital have led to the
emergence of alternative forms of financing in Europe. In Britain equity crowdfunding is
established as an important player in the capital-market and accounts for 20% of all equity
financing in young start-up companies. This study addresses the underdeveloped equity
crowdfunding-market in Norway. The thesis will consider which strategic factors are decisive
for start-up companies choosing equity crowdfunding. In addition, the importance of
networks and place in the emission campaign is examined. Before it is considered how the
choice of financing method, may affect future financing opportunities
The literature of the thesis is based on earlier studies on crowdfunding and networking, in
addition to public documentation and place-based theory. The study leans on theories of
pecking order, observational learning, local bias and information asymmetry. The purpose of
the study is to achieve a greater understanding of equity crowdfunding market in Norway.
That may assist to the maturity of the market and ensure that more start-ups can acquire risk
capital.
The thesis is an exploratory study, in which a multiple case task with a holistic perspective
has been used to analyze the problem area. In addition, data has been obtained from the
shareholder register to look more closely at the ownership of the company, and the
geographical location of the investors. Four entrepreneurs have been interviewed, and a total
of 700 shareholders have been analyzed in the study.
The results for the thesis can be summarized by the fact that the entrepreneurs largely choose
equity crowdfunding in absence of a better alternative. At the same time crowdfunding is not
at the bottom of the rankings according to the theory of "pecking order". The main strategy
for the entrepreneurs who use equity crowdfunding is to bridge the valley of death, to qualify
for future investments from venture companies. At the same time, the study shows that equity
crowdfunding is likely to reduce the probability of attracting capital from professional
investors. The study finds that equity crowdfunding is particularly vulnerable to information
asymmetry and that investors as a result are mainly local. Furthermore, the study shows that
the entrepreneur's social capital and the ability to acquire early investors in the issue
campaign, are of crucial importance for the campaign's outcome. | |
