Sammendrag
Denne masteroppgaven tar for seg verdsettelsen av selskapet Norconsult AS. Oppgaven baserer seg på offentlig tilgjengelige finansiell informasjon i form av årsrapporter og kvartalsrapporter. Formålet med oppgaven er å besvare følgende problemstilling:
«Hva er verdien av Norconsult AS pr 31/12-2021?»
Verdsettelsen er gjort gjennom en fundamental og en komparativ analyse av historisk finansiell informasjon helt tilbake til 2010. Den fundamentale analysen baserer seg på kontantstrømbaserte modeller, samt dividendemodellen. For den komparative analysen er det brukt multiplikatormodeller som grunnlag for å sammenligne verdsettelsen opp mot de komparative selskapene Multiconsult og Sweco.
Videre er disse analysene supplert med en strategisk analyse av de interne og eksterne omgivelsene for å bedre vurdere selskapets og bransjens fremtidsutsikter. De strategiske modellene som er brukt er VRIO, PESTEL, SWOT og Porter’s fem krefter.
Den strategiske analysen viser at Norconsult er godt posisjonert i markedet og har mange gode ressurser. Fellesnevneren i bransjen er at det er lite som skiller de ulike aktørene annet enn størrelsen på selskapet. Fra VRIO-analysen ser jeg at Norconsult har en ressurs som skiller seg ut fra deres konkurrenter og kan skape langsiktig konkurransefortrinn, deres teknologiavdeling NoIS.
PESTEL-analysen forteller at de politiske forholdene gir gode fremtidsutsikter for Norconsult, mens de økonomiske forholdene kan føre til lavere marginer i årene som kommer. For å unngå dette må Norconsult få til å øke ratene sine i takt med forventet lønnsøkning. Den strategiske analysen er brukt som underlag for å se om de fremtidige anslagene brukt i den fundamentale verdsettelsen er sannsynlige.
Det normale estimatet på verdien til Norconsult som ble funnet gjennom DCF-modellen er 8,40 mrd pr 31/12-2021. Denne verdien virker realistisk sammenlignet med Multiconsult og Sweco. Estimatet baserer seg da på at Norconsult fortjener en litt høyere verdsettelse enn Multiconsult på grunn av sin størrelse, og en lavere verdsettelse enn Sweco som er et større selskap enn Norconsult. This master’s thesis does a valuation of the company Norconsult. The thesis is based on publicly available financial information in the form of annual and quarterly reports. The purpose of the assignment is to answer the following problem statement:
«What is the equity value of Norconsult as of 31/12-2021?»
The valuation is made through a fundamental and a comparative analysis of historical financial information all the way back to 2010. The fundamental analysis is based on cash flow-based models, as well as the dividend model. For the comparative analyses there has been used multiple models as a basis for comparing the valuation again the comparative companies Multiconsult and Sweco.
Furthermore, these analyzes are supplemented with a strategic analysis of the internal and external environment to better assess the future prospect of the company and the industry as a whole. The strategic models used are VRIO, PESTEL, SWOT and Porter’s five forces.
The strategic analyses shows that Norconsult is well positioned in the market and has many good resources. The common denominator in the industry is that there is little that separates the various companies other than their size. From the VRIO-analysis, we see that Norconsult has a resource that stands out from their competitors and can create a long-term competitive advantage. This resource is their technology department NoIS.
The PESTEL-analysis states that the political conditions may provide good future prospects for Norconsult, while the economic conditions may lead to lower margins in the years to come. To avoid this, Norconsult will need to increase its rates in line of with the expected salary increase. The strategic analyses are used as a basis for seeing whether the future estimates used in the fundamental valuation are probable.
The normal estimate of the equity value of Norconsult found in the DCF-model is 8,40 billion NOK as of 31/12-2021. This value seems realistic compared to Multiconsult and Sweco. The estimate is then based on that Norconsult deserves a slightly higher valuation than Multiconsult due to its size, and a lower valuation that Sweco, which is a larger company than Norconsult.
